1. Agreement
These Terms and Conditions ("Terms") govern access to and use of the NapX website, products, and services (collectively, the "Services") provided by NapX Inc. ("NapX," "we," "us," or "our"). By accessing the Services or entering into an order with NapX, you agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind that organization.
2. The Services
NapX provides software and related services to businesses. Features, usage limits, and fees are described in your order form or subscription agreement. NapX may update the Services to improve functionality, security, or legal compliance, and will use commercially reasonable efforts to avoid material adverse impact on your operations.
3. Accounts and Acceptable Use
You are responsible for account credentials and for activity under your account. You agree not to misuse the Services, including by attempting unauthorized access, interfering with service integrity, reverse engineering our software except where permitted by law, or using the Services in violation of applicable law or third-party rights. Competitors may not access the Services without prior written consent from NapX.
4. Customer Data
You retain ownership of data you submit to the Services ("Customer Data"). You grant NapX a limited license to process Customer Data solely to provide, secure, and improve the Services, consistent with our Privacy Policy and any data processing addendum. You represent that you have the rights necessary to provide Customer Data to NapX.
5. Intellectual Property
NapX and its licensors own all rights in the Services, software, documentation, branding, and related materials. Except for the limited rights expressly granted to you, no intellectual property rights are transferred. Feedback you provide may be used by NapX without obligation to you.
6. Fees and Payment
If you purchase paid Services, fees, billing frequency, and subscription terms are set out in your order. Fees are non-refundable except as required by law or expressly stated in writing. Late amounts may accrue interest at the rate permitted by law, and NapX may suspend access after notice if undisputed amounts remain unpaid.
7. Warranties and Disclaimers
NapX will provide the Services with commercially reasonable care and skill. Except as expressly stated, the Services are provided "as is" and "as available," without warranties of merchantability, fitness for a particular purpose, or non-infringement. NapX does not guarantee uninterrupted or error-free operation.
8. Limitation of Liability
To the maximum extent permitted by law, NapX's aggregate liability arising out of or related to the Services will not exceed the amounts you paid to NapX for the Services in the twelve (12) months preceding the claim. NapX is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, even if advised of the possibility of such damages.
9. Termination
Either party may terminate a subscription for material breach if the breach remains uncured thirty (30) days after written notice. Upon termination, your right to access the Services ends, and unpaid fees become due. Provisions that by their nature should survive (including intellectual property, confidentiality, limitation of liability, and governing law) will survive termination.
10. Changes
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Services after the effective date constitutes acceptance of the revised Terms, except where additional consent is required by law.
11. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Courts located in New York County, New York will have exclusive jurisdiction over disputes arising from these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
